1. Parties and scope
These Terms & Conditions ("Terms") govern the contractual relationship between Valorem Management, S.L., CIF B67581801, Carrer Ferrán Agulló 22, ENT 2, 08021 Barcelona, Spain ("Valorem", "we", "us"), trading as "Photoshoots by Helmy", and any natural or legal person ("you", "the Client") who books a photography session through the website photosbyhelmy.com or the booking platform photosbyhelmy-booking.netlify.app.
By completing a booking you accept these Terms. If you do not agree with them, please do not book.
2. Services offered
Valorem offers private photography sessions on the Costa Brava (Spain), including but not limited to couples, families, surprise proposals, solo and group portraits, the Tossa K-Drama Walk and tailor-made sessions such as weddings. Each session includes the duration, number of edited photographs, locations and delivery format described in the package selected at the time of booking.
3. Booking process
A booking is made by:
- Selecting a package, a date, a time slot and a location on the booking platform;
- Providing your contact details (name, email, optional phone);
- Completing payment through the Revolut hosted checkout (see section 5).
The booking is confirmed only after we receive payment confirmation from Revolut. You will then receive a confirmation email containing the details of your session and an invoice.
4. Prices and taxes
The prices shown on the Website and the booking platform are in euros (€) and include Spanish VAT (IVA) at 21%, unless explicitly stated otherwise. The total payable is the amount displayed in the booking summary before payment.
An electronic invoice ("factura") is automatically issued in the name of the Client at the time of payment and sent by email. If you require the invoice to be issued in the name of a company, please send the company name, CIF/VAT number and address by email to photos@valorem.management as soon as possible after booking.
5. Payment
Payment is processed by Revolut Bank UAB through a secure hosted checkout page. We do not see or store your card details. Once Revolut confirms the payment we receive a notification and your booking becomes firm.
If a payment fails or is reversed (for example through a chargeback initiated without prior contact with us), the booking is not valid and we reserve the right to cancel the session.
6. Cancellation and rescheduling
6.1 Cancellation by the Client
- More than 48 hours before the session: full refund. The refund is issued by Revolut to the original payment card. Refunds typically take 1–10 business days to appear depending on your bank.
- Within 48 hours of the session: the session is non-refundable. We will, however, do our best to reschedule you to another date if our calendar allows.
- No-show: if the Client does not arrive at the agreed time and place and we cannot reach you within 20 minutes, the session is considered delivered and no refund is due.
6.2 Rescheduling
You can reschedule a session free of charge if you contact us at least 48 hours before the session, subject to availability. To reschedule, use the "Manage your booking" link in your confirmation email or write to photos@valorem.management.
6.3 Cancellation by Valorem
In the rare event that we have to cancel a session (for example due to illness or unavoidable circumstances on our side), we will offer you either a full refund or an alternative date of your choice.
6.4 Right of withdrawal (consumers)
Under Spanish consumer law (Real Decreto Legislativo 1/2007), consumers normally have a 14-day right of withdrawal for distance contracts. This right does not apply to leisure services tied to a specific date (Article 103.l of that law), which includes photography sessions booked for a specific date and time. The cancellation rules in this section 6 therefore apply.
7. Weather and force majeure
Our sessions take place outdoors. Light rain, overcast skies and wind are usually fine for photographs and may produce excellent results. If we both agree on the morning of the session that the conditions make the session impossible (heavy rain, storm, official weather warning), we will reschedule the session free of charge to the next mutually convenient date.
Neither party is liable for failures caused by events beyond reasonable control ("force majeure"), including but not limited to natural disasters, public-transport strikes, government measures, electrical or internet outages affecting payment or delivery.
8. Image delivery
Photographs are delivered through a private online gallery, with a download link sent to your email. Standard delivery is within 48 hours of the session, often the same evening for afternoon sessions. The gallery link remains active for at least 90 days. We will keep a copy of your original files for 12 months in case you need a re-download, after which the files are deleted.
We do not provide raw (unedited) files. The number of edited photographs delivered is the number indicated in the booked package or more, at our editorial discretion. Photographs are delivered in high-resolution JPEG.
9. Image rights and usage
Copyright in all photographs remains with the photographer, Helmy. Valorem grants the Client a perpetual, worldwide, non-exclusive licence to use the delivered photographs for personal, non-commercial purposes (printing, sharing with family and friends, posting on personal social media). A credit is appreciated but not required.
Any commercial or promotional use of the photographs (by businesses, brands, agencies, publications or for advertising) requires a separate licence. Please contact us.
We will not publish photographs of identifiable people on our website or social media without explicit consent from the people pictured (or from the parent/guardian for minors). If you have given consent and later change your mind, write to photos@valorem.management and we will remove the images from our public channels within a reasonable time.
10. Client conduct and right to decline
We expect the session to take place in a respectful and safe environment. We reserve the right to end a session early, without refund, if the Client (or anyone accompanying them) behaves in a way that is abusive, threatening, discriminatory, or that compromises the safety of the photographer or other people.
We may also decline a booking before payment, or refuse to deliver photographs, if the requested content would be illegal or contrary to our values (for example: explicit nudity without prior written agreement, content involving minors that we judge inappropriate, or content that promotes hate or violence).
11. Liability
To the maximum extent permitted by law, our total liability arising from or in connection with a booking is limited to the price paid by the Client for that booking. We are not liable for indirect or consequential losses (such as missed flights, hotel costs or third-party expenses) arising from a cancelled or postponed session.
Nothing in these Terms limits or excludes liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded by Spanish law.
12. Complaints and dispute resolution
Any complaint should first be sent to photos@valorem.management. We will acknowledge receipt within 5 working days and aim to provide a substantive reply within one month.
Official complaint forms (hojas de reclamaciones) are available on request in accordance with Spanish consumer regulations.
As a consumer, you may also submit a dispute to the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
13. Applicable law and jurisdiction
These Terms are governed by Spanish law. For disputes with consumers, the competent court is that of the consumer's domicile within the EU, where mandatory consumer rules apply. For other disputes, the courts of Barcelona, Spain shall have exclusive jurisdiction.
14. Changes to these terms
We may update these Terms from time to time. The Terms in force at the moment you make a booking are the ones that apply to that booking. The "Last updated" date at the top of this page indicates the latest version.
